INDEPENDENT CONTRACTOR AGREEMENT

BRZ Connect — Rider Partner Terms and Conditions

1. PARTIES

This Agreement is entered into between:

BRZ Connect, based in Reading, United Kingdom, hereinafter referred to as "BRZ Connect" or "the Company";

and

The individual who has completed and submitted the BRZ Connect Rider Registration Form, hereinafter referred to as "the Rider" or "the Contractor".

2. NATURE OF THE AGREEMENT

2.1 This Agreement establishes the terms under which the Rider may participate in advertising campaigns organised by BRZ Connect.

2.2 This Agreement is valid from the date of registration and remains in force indefinitely until terminated by either party in accordance with Section 9.

2.3 This Agreement covers all campaigns in which the Rider participates during the period it is in force.

2.4 Participation in any specific campaign is subject to availability and mutual agreement between BRZ Connect and the Rider.

3. INDEPENDENT CONTRACTOR STATUS

3.1 The Rider is an independent contractor and not an employee, worker, or agent of BRZ Connect.

3.2 The Rider retains full control over their working hours, routes, and delivery activities.

3.3 The Rider uses their own vehicle, equipment, and delivery box. BRZ Connect provides advertising materials only.

3.4 The Rider is solely responsible for their own tax obligations, National Insurance contributions, and any other statutory requirements.

3.5 The Rider is free to work for other companies, platforms, or clients simultaneously.

3.6 The Rider is under no obligation to accept any specific campaign offered by BRZ Connect.

3.7 The Rider is solely responsible for maintaining all necessary insurance required to carry out their activities.

4. ADVERTISING MATERIALS

4.1 BRZ Connect will provide high-quality printed advertising stickers to be applied to the delivery box.

4.2 The cost of printing and delivery of advertising materials is covered entirely by BRZ Connect.

4.3 The Rider agrees to apply the advertising stickers as instructed prior to the campaign start.

4.4 The Rider agrees to keep the advertising stickers clean, intact, and visible throughout the campaign.

4.5 The Rider must notify BRZ Connect immediately if any sticker becomes damaged, falls off, or is removed.

4.6 The Rider must not remove, cover, or alter the stickers during an active campaign without prior written authorisation.

4.7 Upon termination, the Rider must remove all BRZ Connect advertising stickers promptly.

4.8 The advertising materials must be fully visible and unobstructed at all times during an active campaign.

4.9 Damaged stickers through normal wear will be replaced at no cost. Deliberate damage costs will be deducted from payments.

5. MILEAGE TRACKING AND VERIFICATION

5.1 The Rider is required to track their mileage using the BRZ Connect app during all active campaigns.

5.2 The app will automatically close the riding session at midnight each day.

5.3 BRZ Connect reserves the right to request additional verification of mileage at any time.

5.4 Failure to record mileage for two or more consecutive weeks may result in suspension of payments or termination.

5.5 Fraudulent information or GPS data manipulation will result in immediate termination without payment.

6. PAYMENT

6.1 The Rider will be compensated per mile ridden during an active campaign.

6.2 The BRZ Connect Rider Programme consists of three levels — Bronze, Silver, and Gold — each with different per-mile rates.

6.3 Payments will be made fortnightly, directly to the Rider's nominated bank account.

6.4 Payment is conditional upon verified mileage recorded through the BRZ Connect app.

6.5 BRZ Connect reserves the right to withhold or adjust payment in case of unverifiable information or breaches.

6.6 The Rider is responsible for declaring all income to HMRC.

6.7 Earnings begin from the official start date of the campaign, subject to confirmation photograph submission.

7. CONDUCT AND BRAND REPRESENTATION

7.1 The Rider agrees to conduct themselves in a manner that does not bring BRZ Connect or its clients into disrepute.

7.2 The Rider must not cover, obstruct, or interfere with advertising stickers during an active campaign.

7.3 The Rider must not use BRZ Connect's branding for any unauthorised purpose.

8. DATA PROTECTION

8.1 BRZ Connect will collect and store personal data solely for managing participation and processing payments.

8.2 Personal data will not be shared with third parties without consent, except where required by law.

8.3 The Rider has the right to request access to, correction of, or deletion of their personal data.

8.4 BRZ Connect complies with UK GDPR and the Data Protection Act 2018.

9. TERMINATION

9.1 Either party may terminate with a minimum of 7 days written notice.

9.2 BRZ Connect may terminate immediately for breaches including tampering with stickers, fraudulent data, disreputable conduct, or failure to record mileage.

9.3 BRZ Connect may also terminate due to operational reasons or force majeure.

9.4 Upon termination, outstanding payments for verified miles will be processed in the next payment cycle.

9.5 Upon termination, the Rider must remove all advertising materials.

10. GENERAL

10.1 This Agreement constitutes the entire agreement between BRZ Connect and the Rider.

10.2 This Agreement is governed by the laws of England and Wales.

10.3 If any provision is found to be unenforceable, the remaining provisions continue in full force.

10.4 BRZ Connect reserves the right to update these Terms with a minimum of 14 days notice.

11. ACCEPTANCE

By submitting the BRZ Connect Rider Registration Form and ticking the confirmation box, the Rider confirms that they have read, understood, and agreed to all terms set out in this Agreement.
