ADVERTISING SERVICES AGREEMENT

BRZ Connect — Client Terms and Conditions

1. PARTIES

This Agreement is entered into between:

BRZ Connect, based in Reading, United Kingdom;

and

The business or individual who has completed and submitted the BRZ Connect Client Registration Form, hereinafter referred to as "the Client".

2. NATURE OF THE AGREEMENT

2.1 This Agreement establishes the terms under which BRZ Connect will provide mobile advertising services to the Client in Reading, United Kingdom.

2.2 The specific details of each campaign will be agreed upon individually and confirmed in a Campaign Brief.

2.3 This Agreement remains in force for all subsequent campaigns unless terminated in accordance with Section 10.

3. CAMPAIGN CONFIRMATION AND ACTIVATION

3.1 Following the initial meeting, a Campaign Brief will be prepared and sent for review and digital signature.

3.2 Upon signing, the Client must transfer the agreed deposit within the specified timeframe.

3.3 Extension requests for deposit payment must be submitted in writing by email.

3.4 Campaign activation commences upon receipt of both the deposit payment and compliant artwork.

3.5 The activation period will vary depending on the number of motorcycles contracted.

3.6 The campaign start date will be confirmed in writing upon completion of the activation period.

4. ADVERTISING SERVICES

4.1 BRZ Connect will arrange for the Client's advertising materials to be displayed on delivery boxes of registered Rider Partners in Reading.

4.2 The number of motorcycles, advertising faces, and campaign duration will be confirmed in the Campaign Brief.

4.3 BRZ Connect will make all reasonable efforts to ensure the agreed number of motorcycles participate.

4.4 BRZ Connect reserves the right to substitute individual riders during a campaign.

5. PRICING MODEL

5.1 At campaign confirmation, the Client will choose one of two pricing models:

Option A — Fixed Weekly Rate: A fixed agreed amount per motorcycle per week, regardless of miles ridden.

Option B — Mileage-Based Rate: Based on total verified miles ridden, at the agreed rate per advertising face.

5.2 Under Option B, the final payment may differ from the initial estimate based on actual mileage.

5.3 All payments must be made by bank transfer.

5.4–5.6 Payment terms and late payment provisions will be specified in the Campaign Brief.

6. LATE PAYMENT

6.1 In the event of late payment, a late payment notice and fee will apply as specified in the Campaign Brief.

6.2 Interest will be charged on outstanding amounts after the extended deadline, in addition to rights under the Late Payment of Commercial Debts (Interest) Act 1998.

7. FIRST CAMPAIGN AND ONGOING CAMPAIGNS

7.1 The first campaign has a minimum duration as specified in the Campaign Brief.

7.2 From the second campaign onwards, a minimum duration applies as specified.

7.3 There is no maximum campaign duration. Long-term campaigns may be subject to monthly invoicing.

8. ADVERTISING MATERIALS

8.1 The Client is responsible for providing all advertising artwork within the specified timeframe.

8.2 The artwork submission deadline begins from the date of deposit payment confirmation.

8.3 All artwork must meet minimum technical specifications: 300 DPI, PDF/PNG/JPEG, CMYK, 5mm safe zone.

8.4–8.5 Non-compliant artwork must be resubmitted within 48 hours of notification.

8.6 A footer strip reserved for BRZ Connect branding will be present on each advertising face.

8.7 Failure to submit compliant artwork may result in campaign cancellation with applicable fees.

9. CREATIVE SERVICE

9.1 BRZ Connect's Creative Service is available for an additional fee specified in the Campaign Brief.

9.2 The creative process includes initial artwork, one round of amendments at no additional cost, and a second round of amendments at no additional cost.

9.3 Further amendments beyond two rounds will be subject to an additional creative fee.

9.4 BRZ Connect will arrange printing and delivery of all stickers at its own cost.

10. CANCELLATION

10.1 The Client may cancel a confirmed campaign with written notice within the specified timeframe.

10.2 Early cancellations may receive a refund less applicable cancellation fee.

10.3 Late cancellations result in the full deposit being retained.

10.4 Post-commencement cancellations require payment for all verified activity.

10.5 BRZ Connect may cancel in exceptional circumstances with full refund.

11. ADVERTISING CONTENT

11.1 The Client is responsible for ensuring all content complies with UK advertising standards (ASA).

11.2 BRZ Connect reserves the right to refuse content that is offensive, unlawful, misleading, or damaging.

11.3 The Client warrants that it holds all necessary rights for submitted content.

11.4 BRZ Connect accepts no liability for claims arising from the Client's advertising content.

12. DAMAGED MATERIALS

12.1 Damaged stickers through normal wear will be replaced at no additional cost.

12.2 Disruption exceeding 48 hours per affected motorcycle may entitle the Client to compensation.

13. TERMINATION

13.1 Either party may terminate with written notice within the specified timeframe.

13.2 BRZ Connect may terminate immediately for non-payment, content violations, or damaging conduct.

13.3 Outstanding payments for completed activity remain due upon termination.

14. LIABILITY

14.1 BRZ Connect's total liability shall not exceed the total campaign fees paid.

14.2 BRZ Connect accepts no liability for indirect, consequential, or economic loss.

14.3 BRZ Connect does not guarantee any specific commercial outcome or ROI.

15. DATA PROTECTION

15.1 BRZ Connect processes personal data in compliance with UK GDPR and the Data Protection Act 2018.

15.2 Client data will not be shared with third parties without prior consent.

16. GENERAL

16.1 This Agreement constitutes the entire agreement between the parties.

16.2 This Agreement is governed by the laws of England and Wales.

16.3 If any provision is found to be unenforceable, the remaining provisions continue in full force.

16.4 BRZ Connect reserves the right to update these Terms with a minimum of 14 days notice.

17. ACCEPTANCE

By submitting the BRZ Connect Client Registration Form and ticking the confirmation box, the Client confirms that they have read, understood, and agreed to all terms set out in this Agreement.
